Terms of Service
Terms of Service
Last updated: September 2026
These terms apply when you use qorviza.com and when you buy services from Qorviza SEO, LLC, a Delaware limited liability company, 131 Continental Dr, Suite 305, Newark, DE 19713, USA ("Qorviza", "we", "us"). "You" means the person or business using the site or hiring us.
Please read them together with our Refund Policy and Privacy Policy. If you're a consumer in the EU or UK, section 16 matters to you.
1. How these terms fit together
If you hire us, your agreement has three parts: 1. Your written proposal or statement of work (SOW): scope, deliverables, price, timing and term. 2. These Terms of Service. 3. Our [Refund Policy](/refund-policy/).
If they conflict, the proposal or SOW wins, then these terms, then the Refund Policy. For the two items you can buy online (section 3), the product page you bought from, as it read when you paid, takes the place of the proposal.
2. What's on the website isn't an offer
Service pages, "from" prices, packages, the package builder and the ROI calculator describe how we usually work and what things usually cost. They aren't an offer we're bound to accept. Your price and scope are set in your written proposal. A proposal is valid for 30 days unless it says otherwise. The contract starts when you accept it in writing (email is fine) or pay the first invoice.
3. Buying online
You can buy two fixed-price items directly through Stripe Checkout:
- SEO audit, $1,950. We deliver the report within 10 business days of kick-off, followed by a 60-minute walkthrough call.
- Analytics & reporting setup, $1,800. We deliver within the window stated in your kick-off email.
Kick-off is when we email you to confirm we have the access we need and work has started. The delivery clock starts then. If we're waiting on access or information from you, the clock pauses until we have it. We'll tell you if that happens.
Your purchase is confirmed when Stripe confirms the payment and we send you an order confirmation email. Card details are handled by Stripe; we never see them. Everything else we sell is by proposal and invoice. If you'd like to talk it through first, use the quote form or contact us.
4. Using the website and our free tools
You can use this site for your own business research. Please don't scrape it in bulk, try to break or overload it, probe it for vulnerabilities without permission, or use it for anything unlawful.
The instant SEO check. Enter a URL you own or are authorized to test. We fetch and analyze only that public page and don't store the results; abuse-prevention logs are kept for 7 days. You may not use the check:
- on sites you don't own or don't have permission to test;
- to scan internal, private or non-public addresses;
- to run large numbers of automated checks, or as part of a script or commercial service;
- to try to get around our limits.
We rate-limit the check and may block any IP address, network or domain that looks like it's being used for abuse, without notice. Results are automated and based on one snapshot of one page. They're a starting point, not an audit.
The ROI calculator. Illustrative estimate based on the numbers you enter. Not a forecast or a guarantee.
The package builder. A starting point for a conversation; the final scope and price are in the written proposal.
Sample projects. The projects shown on this site are labelled "Sample project: illustrative, not an actual client result." They show how we approach work. They don't describe a real client or real results.
5. Retainers, terms and notice
Our monthly packages come with an initial term:
- Launch and Momentum: 3 months.
- Compound: 6 months.
Link building and digital PR has a 2-month minimum. Other monthly services have the initial term stated in your proposal. If the proposal doesn't state one, they run month to month.
After the initial term, every retainer continues month to month until either of us ends it with 30 days' written notice. Email to sales@qorviza.com counts as written notice. You can give notice during the initial term, but it takes effect no earlier than the end of that term. There are no setup fees on packages.
Monthly work doesn't roll over. If a month's deliverables can't be finished because we're waiting on you, we'll agree with you how to catch up, but the fee for that month is still due.
6. Fees, invoices and late payment
- Prices are in US dollars and exclude any sales tax, VAT or similar taxes. If tax applies, we'll show it at checkout or on the invoice.
- Retainers are invoiced monthly in advance. Projects are invoiced as set out in the proposal.
- Invoices are due net 14 days from the invoice date, by card through Stripe or by bank transfer.
- Overdue amounts carry a late fee of 1.5% per month or the maximum permitted by law, whichever is lower.
- If an invoice is more than 14 days overdue and we've sent you a reminder, we may pause work until it's paid. Pausing doesn't extend your term or reduce the fee.
- If you think an invoice is wrong, tell us within 14 days. We'll look at it quickly. Pay any part you don't dispute on time.
7. Ad spend
For PPC and paid social, you pay the ad platforms directly (Google, Meta, LinkedIn, TikTok and others), normally with your own card in your own ad account. If we agree in writing that we'll pay a platform on your behalf, you'll reimburse us at cost, and we may ask for it in advance.
Our management fee is separate from ad spend. For Google Ads it's $750 a month or 12% of ad spend, whichever is higher, unless your proposal says otherwise.
Ad platforms set their own rules, prices, policies and algorithms, and they change them often. They can reject ads or restrict or suspend accounts. That's outside our control, and we're not responsible for it. We'll follow each platform's policies and tell you promptly if something affects your campaigns.
Where we can, we set up ad, analytics and Search Console accounts in your name and ask you to give us access. You keep those accounts when we stop working together.
8. What we promise, and what we don't
We'll do the work with reasonable skill and care, in line with recognised good practice in our industry, and we'll tell you honestly what we see.
We don't guarantee search rankings, traffic, leads, sales, revenue, return on investment, ad results, or that your brand will appear in AI answers (ChatGPT, Perplexity, Google AI Overviews and similar). Nobody can honestly promise those. Search engines and AI platforms decide what they show, and they change constantly. Your results also depend on your market, your competitors, your site and your business.
We have no special relationship with Google, Meta, OpenAI or any other platform. We don't claim partner status unless we tell you so in writing.
We don't buy links, and we don't use methods that break search engine guidelines.
Except for what's in this section and in your proposal, and to the extent the law allows, we don't give any other warranties.
9. What we need from you
- Access to the accounts, systems and people we need, in good time.
- Approvals and feedback within the times agreed in your proposal. If none are agreed, within 5 business days.
- Accurate content and information. You're responsible for checking that product claims, prices, legal statements and anything else we publish for you are true and lawful.
- A current backup of your website before we make changes to it, unless your proposal says we'll handle backups.
If delays on your side hold up the work, deadlines move by the same amount.
10. Who owns what
- Your materials (content, logos, data, accounts and anything you give us) stay yours. You give us permission to use them for the work.
- Deliverables made for you, such as reports, content, designs and code, become yours or are licensed to you, as your proposal says, once you've paid in full for them.
- Our methods, templates, checklists, software and know-how stay ours. Where they're part of a deliverable, you get a permanent licence to use them as part of it.
- Third-party tools and assets (stock photos, fonts, plugins, software) stay under their own licences.
We won't name you as a client or show your work publicly without your written permission.
Some of our research and drafting uses software tools, including AI-assisted ones. A person on our team reviews everything before it reaches you. We don't put your confidential information into tools that use it to train their models.
11. Confidentiality
We'll each keep the other's confidential information private and use it only for the work. That covers business plans, data, results, prices and account access, but not information that's already public, that the other side already had, or that the law requires us to disclose. This lasts during our work together and for 3 years after, and for as long as any trade secret stays secret.
We may use carefully selected specialists, such as freelance writers or developers, for parts of the work. They're bound by confidentiality, and we remain responsible for their work.
12. Limits of liability
To the extent the law allows:
- Our total liability to you for any claim connected with our services is limited to the fees you paid us in the 3 months before the event that gave rise to the claim.
- Neither of us is liable for indirect or consequential losses, or for lost profits, revenue, data, rankings, traffic or goodwill.
Nothing in these terms limits liability for fraud, for death or personal injury caused by negligence, or for anything else the law doesn't allow to be limited. It also doesn't affect your statutory rights as a consumer.
13. Your responsibility for your content
You'll cover our reasonable costs, losses and legal fees if a third party makes a claim against us because of content, data or instructions you gave us. Examples: material you didn't have the rights to, or product claims that turned out to be false or unlawful. We'll tell you promptly about any such claim and let you help handle it.
14. Ending the work
- Retainers end as described in section 5.
- Either of us can end the agreement straight away by written notice if the other seriously breaks it and doesn't fix the problem within 14 days of being asked, or becomes insolvent.
- When the work ends, you pay for the work done and the fees for the current period. We hand over paid-for deliverables. We also remove our access to your accounts, or hand it back.
Sections 6, 10, 11, 12, 13, 15 and 16 continue after the agreement ends.
15. Disputes and governing law
If something goes wrong, email us first. We'll both try in good faith to resolve it within 30 days before either of us goes further.
These terms and any agreement with us are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law rules. The state and federal courts located in Delaware have exclusive jurisdiction, subject to section 16.
16. Consumers in the EU and UK
If you're a consumer, meaning you're buying for purposes outside your trade, business or profession, and you live in the EU or UK, you keep the protection of the mandatory consumer laws of your country, whatever these terms say. You can also bring a claim in the courts where you live. Your right to withdraw from an online purchase is explained in our Refund Policy (§6).
17. Other terms
- Events outside our control. Neither of us is responsible for delays caused by events beyond reasonable control, such as major platform outages, natural disasters or government action.
- Assignment. Neither of us may transfer the agreement without the other's consent, except as part of selling or reorganising a business.
- Whole agreement. Your proposal, these terms and the Refund Policy are the whole agreement between us about the work.
- Changes. We may update these terms. The version in force when you accept a proposal or pay online applies to that engagement. For retainers, we'll give you 30 days' notice of any change that affects you, and you can end the retainer before it takes effect.
- Severability. If a court finds any part of these terms unenforceable, the rest still applies.
- Notices. Notices can be sent by email. Ours go to the email address you gave us, and yours go to sales@qorviza.com.
